These Terms and Conditions (“Terms”) govern your access to and use of the TradeFinch website, platform, and services (together, the “Services”), operated by TradeFinch Ltd (“TradeFinch”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. About TradeFinch

TradeFinch provides tools and services to assist local tradespeople and businesses with managing, optimising, and maintaining their Google Business Profile and local online presence.

Our Services may include automated systems and manual interventions, such as:

Profile setup and optimisation support
Uploading photos and content provided by you
Review request reminders
Review response assistance
Ongoing profile management activities

TradeFinch does not guarantee any specific business outcomes, including rankings, visibility, reviews, leads, or revenue.

2. Eligibility

You must be at least 18 years old to use the Services.
By using the Services on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

3. Accounts

To access the Services, you must create an account and provide accurate, complete, and up-to-date information.

You are responsible for:

Maintaining the confidentiality of your login credentials
All activity that occurs under your account

We may suspend or terminate your account if we believe information provided is inaccurate, misleading, or violates these Terms.

4. Subscriptions, Fees, and Payment

The Services are provided on a subscription basis, billed monthly unless otherwise stated.
We may introduce additional products or services that may be charged on a one-time, subscription, or usage-based basis.
Prices are displayed at the point of purchase and may be changed with reasonable notice.

Payments are processed by third-party payment providers (such as Stripe). TradeFinch does not store full payment card details.

Failure to pay applicable fees may result in suspension or termination of access to the Services.

5. Third-Party Platforms and Google Business Profile

By using TradeFinch, you authorise us to:

Access, manage, and interact with your Google Business Profile
Use third-party platforms, APIs, and tools as required to deliver the Services

TradeFinch is not affiliated with, endorsed by, or sponsored by Google.

Your use of Google services remains subject to Google’s own terms, policies, and enforcement decisions.

TradeFinch is not responsible for:

Changes to third-party platforms
Account suspensions, restrictions, or removals by Google or others
Any losses arising from third-party actions

6. Communications (Email, WhatsApp, and Messaging)

By using the Services, you consent to receiving communications from us via:

Email
WhatsApp
Other electronic messaging methods

These communications may include service-related notices, reminders, requests for content, and updates. You may opt out of non-essential marketing communications at any time.

7. No Guarantees and No Professional Advice

TradeFinch provides tools and assistance related to online profile management only.

We do not:

Guarantee search rankings, reviews, leads, or business performance
Provide legal, financial, or professional marketing advice

Any reliance on the Services is at your own risk.

8. Acceptable Use

You agree not to:

Provide false, misleading, or unlawful information
Upload content that infringes third-party rights or violates laws
Use the Services for spam, deception, or manipulation
Attempt to disrupt, reverse-engineer, or misuse our systems

We reserve the right to suspend or terminate access for misuse.

9. Intellectual Property

All intellectual property rights in the Services, including software, systems, content, and branding, are owned by or licensed to TradeFinch.

You are granted a limited, non-exclusive, non-transferable licence to use the Services during your subscription period.

10. Limitation of Liability

To the maximum extent permitted by law:

TradeFinch shall not be liable for any indirect, incidental, consequential, or economic losses, including loss of profits, data, revenue, goodwill, or business opportunities.
Our total liability for any claim shall not exceed the total fees paid by you to TradeFinch in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

11. Indemnity

You agree to indemnify and hold harmless TradeFinch from any claims, losses, damages, or expenses arising out of:

Your use of the Services
Your content or instructions
Your breach of these Terms
Your violation of third-party terms or laws

12. Suspension and Termination

You may cancel your subscription at any time through your account.

We may suspend or terminate your access immediately if you breach these Terms or if required by law or a third-party platform.

Upon termination, your right to use the Services ceases.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
